Terms of Service

1. Scope of Application

These Terms of Service (hereinafter referred to as "these Terms") apply to the agreement between Beijing Huigen Zhiyan Technology Co., Ltd. (hereinafter referred to as "we") and you (hereinafter referred to as "the Client") regarding the provision of digital solution services (including but not limited to mini-program development, website development, data crawling, RPA automation, AI Agent, and other services).

2. Service Content

We provide the following services to clients:

  • Mini-Program Development:Custom WeChat, Alipay & Baidu mini-program development
  • Website Development:Responsive corporate websites & e-commerce platform development
  • Data Crawling:Compliant data collection & business intelligence analytics
  • RPA Automation:YingDao RPA Premium Partner,提供全FinanceSolutions
  • AI-Agent:Intelligent agent for automating office workflows
  • HuiMei Engine:AI-powered content creation & multi-platform distribution

Specific service content shall be subject to the service contract or project proposal signed by both parties.

3. Client Obligations

The Client shall fulfill the following obligations:

  • Provide truthful, accurate, and complete project requirements and related information
  • Pay service fees on time
  • Cooperate with our work and provide necessary materials and feedback in a timely manner
  • Comply with relevant laws and regulations and not use our services for illegal activities
  • Protect the intellectual property of technical documentation and source code provided by us

4. Service Fees

Service fees are determined based on project complexity, workload, technical requirements, and other factors, subject to the service contract or quotation signed by both parties.

Payment method: Generally installment-based, with specific payment milestones and proportions agreed upon in the service contract.

Invoice: We will issue official VAT invoices based on the client's payment amount.

5. Service Delivery

Service delivery follows this process:

  1. Requirements analysis and solution design
  2. Prototype design and confirmation
  3. Development and testing
  4. Acceptance and delivery
  5. Operations and support

Delivery timeline: Specific delivery dates are agreed upon in the service contract based on project complexity and workload.

Acceptance criteria: Acceptance is based on the requirements documentation and technical proposal confirmed by both parties.

6. Intellectual Property

We own the intellectual property of technical solutions, source code, design documents, and other deliverables produced during the service.

The Client has the right to use the final products developed through the service. Without our written permission, related technology or code shall not be used for other projects.

The intellectual property of materials and data provided by the Client belongs to the Client, who shall ensure their legality and non-infringement.

7. Confidentiality Agreement

Both parties shall maintain confidentiality of trade secrets and technical information obtained during the cooperation and shall not disclose them to third parties.

Confidentiality period: From the start of cooperation until 5 years after project completion.

Exceptions: Disclosure required by law, publicly available information, and information lawfully obtained by third parties.

8. Liability for Breach

Client's liability for breach:

  • For late payment, a penalty of 0.5% of the unpaid amount per day of delay shall apply
  • If failure to provide necessary materials or feedback causes project delays, the Client shall bear responsibility
  • For breach of confidentiality obligations, the Client shall compensate us for any losses incurred

Our liability for breach:

  • For late delivery, a penalty of 0.5% of the service fee per day of delay shall apply
  • If service quality does not meet agreed standards, we shall rectify until requirements are met
  • For breach of confidentiality obligations, we shall compensate the Client for any losses incurred

9. Disclaimer

We shall not be liable for:

  • Issues caused by incomplete or inaccurate materials provided by the Client
  • Service delays or interruptions caused by force majeure (such as natural disasters, policy changes, etc.)
  • System failures or data loss caused by improper use by the Client or third-party factors
  • Service interruptions, delays, or data loss due to the nature of the internet

10. Dispute Resolution

In case of disputes, both parties shall first attempt to resolve them through friendly negotiation. If negotiation fails, either party may file a lawsuit with the People's Court of Haidian District, Beijing.

The formation, execution, interpretation, and dispute resolution of these Terms shall be governed by the laws of the People's Republic of China.

11. Other Terms

These Terms shall take effect from the date of signing the service contract or the Client's acceptance of services.

We reserve the right to modify these Terms based on business development or legal changes. Updated Terms will be published on our official website.

For matters not covered by these Terms, both parties may sign supplementary agreements.
